These Rewards Program Terms and Conditions (“Terms”) between Balducci’s Holdings, LLC (“Balducci’s”) and each Rewards Program member (each, a “Member”) set forth the rights and conditions for the Balducci’s Rewards Program (the “Rewards Program”). A Member’s enrollment and continued participation in the Rewards Program indicates such Member’s acceptance of these Terms, as they may be amended from time to time by Balducci’s. These Terms, and any modification or amendment hereto, shall be binding as between Balducci’s and each Member effective as of the enrollment date of each Member.
Members will receive Rewards Program points (“Points”) on products purchased for such Members’ use at any Balducci’s location that participates in the Rewards Program (each, a “Participating Store”). Members will earn one (1) Point for every one (1) dollar spent at any Participating Store, excluding any federal, state, local or other taxes, coupons or other charges. The purchase of certain products, including, without limitation, stamps and gift cards, at Participating Stores are not eligible to earn Points, and other restrictions may apply. Only one Member may receive Points in any one transaction.
At its discretion, Balducci’s may choose to offer, on a non-discriminatory basis, incentive programs, including, without limitation, double Points, to certain Members at any time and from time to time.
The amount of Points earned by Members in any one transaction, for any one product or for products purchased from any one department at a Participating Store may be limited by Balducci’s in its sole discretion.
Points are non-transferrable. Points earned by Members for purchases that result in returns, recalls or refunds will be deducted from the Points balance of such Members. Points have no cash value and cannot be exchanged for cash or other compensation.
Members must always use their Rewards Program card or key tag (“Rewards Card”) whenever making a purchase or placing a catering order at Balducci's. Members must present at the point of sale either (1) their Rewards Card, (2) their Rewards account number, or (3) phone number and last name to earn or redeem Points. Every 250 Points earned in a Member’s Rewards Program account will be converted automatically into ten (10) “Rewards Dollars”, good towards the next purchase of $10 or more at any Participating Store.
Rewards Dollars can be used by Members for future purchases at Participating Stores and may be used in conjunction with most other discounts or offers toward the purchase of products at Participating Stores. Product availability at Participating Stores may vary. Rewards Dollars may be redeemed for a discount off any purchase amounts; provided, however, that if the value of Rewards Dollars redeemed by a Member is greater than the purchase amount, then such Member will not receive cash back and the balance of unused Rewards Dollars will remain in the Member’s account until redeemed by the Member or until expiration.
Rewards Dollars cannot be redeemed or exchanged for cash and cannot be replaced if expired. Rewards Dollars may be used for purchases at Participating Locations. Once a Member redeems Rewards Dollars, the redeemed Rewards Dollars are deducted from such Member’s account and cannot be used again.
Unless otherwise noted, Rewards Dollars expire thirty (30) days from the date of issuance. Rewards Dollars not redeemed within thirty (30) days of issuance will automatically expire.

All Points earned by family members will be added together to determine the total household Points eligible for the Rewards Program. For example, if Food Lover A spends $150 and Food Lover B spends $100, the Rewards Program account will have 250 Points, which will automatically convert into 10 Rewards Dollars to use for future purchases of $10 or more at a Participating Store.
If a Member misplaces a Rewards Card, Points can still be earned by giving the cashier the phone number associated with such Rewards Program account during checkout, so that the cashier may look up such Member’s account information.
If Members wish to physically replace a lost or stolen Rewards Card, Members may visit any Participating Location, fill out a “Member Update Form” and receive a new Rewards Card.
Rewards Dollars are just part of the savings. Each month, there will be Member exclusive offers (“Exclusive Offers”) featured in Balducci’s stores and in the Balducci’s mailer. Members will receive Exclusive Offers and information by e-mail, with discounts on selected featured items and products, to be redeemed at Participating Stores. The Rewards Program entitles Members to participate in special in-store price promotions on selected products at Participating Stores.
The Rewards Program is a free benefit to Balducci’s customers at Participating Stores only and is completely voluntary.
All individual customers at least eighteen (18) years of age are eligible to apply to participate in the Rewards Program.
Eligible customers may enroll (1) at the point of sale of a Participating Store, (2) at customer service of a Participating Store by completing an application form, or (3) by applying online at the Website. No purchase is necessary to join. Only participating customers are eligible to earn Points.
Changes in account information may be made in-person at a Participating Store. It is the Members’ responsibility to notify Balducci’s of any changes to account information, including without limitation, changes to a Member’s mailing address and e-mail address.
The Rewards Program enrollment date is the date on which a Member applies to participate in the Rewards Program. Members are eligible to being earning Points as of the enrollment date. Purchases made prior to the enrollment date are not eligible to earn Points. Members cannot change their enrollment date.
Members that suspect an error in their Points balance shall notify Balducci’s by e-mailing customer-service@BalduccisRewards.com or by calling 1-844-884-9809. Balducci’s will investigate any potential discrepancies and correct any errors. Balducci’s determination, in its sole discretion, regarding any Points balance discrepancy or error shall be final and binding upon Balducci’s and the Member suspecting such Points discrepancy or error.
Members may cancel their Rewards Program account at any time by e-mailing customer-service@BalduccisRewards.com or by calling 1-844-884-9809.
Balducci’s reserves the right to modify or discontinue the Rewards Program at any time with or without notice to the Members, or terminate any Member’s Rewards Program account at any time with or without notice to such Member for any reason, including without limitation, for fraud, abuse, conduct inconsistent with these Terms or violation of any federal, state or local laws. In the event that Balducci’s modifies or amends these Terms Balducci’s may, in its sole discretion, either e-mail such modified or amended Terms to each Member or post such modified or amended Terms on the Website.
Any Points balance in a Rewards Program account that is inactive for a period of 120 days shall automatically expire. Rewards Program account activity requires purchases at Participating Stores with a Member’s Rewards Card or a redemption of Rewards Dollars.
If a Member cancels their Rewards Program account or such Member’s Rewards Program account is terminated by Balducci’s, such Member forfeits all remaining Points and any unused Rewards Dollars.
Balducci’s collects information about purchases made by Members at Participating Stores and on the Website. This information allows Balducci’s to send Exclusive Offers to Members. As a condition to participation in the Rewards Program, Members consent to the collection of such information by Balducci’s.
Balducci’s takes the protection and proper use of Members’ personal information seriously. Members’ information is kept confidential, accurate, and secure. Balducci’s stores and maintains this personal information to administer the Rewards Program, process Points, and communicate valuable offers to Members. Balducci's does not share and does not sell Members’ personal information to third parties. However, Balducci’s reserves the right to share Members’ personal information as may be required by law, by court order, or in cooperation with law enforcement to protect the rights, property, or safety of Balducci’s. For purposes of these Terms, “personal information” includes all information provided by an applicant to Balducci’s on the Rewards Program application.
Rewards Cards and Rewards Program key tags remain the exclusive property of Balducci’s and must be surrendered upon request. Balducci’s reserves the right to disqualify any Member from participation in the Rewards Program and to immediately invalidate all Points and Rewards Dollars accumulated or presented by a Member based on abuse, fraud, or any violation of these Terms.
Points, Rewards Dollars and other offers, discounts or coupons in connection with the Rewards Program are redeemable only at Participating Stores and are void where prohibited by law.
Accumulated Points do not, in any way, entitle Members to any vested rights with respect to the Rewards Program.
Balducci’s reserves the right to offer a modified Point structure for certain products or departments or to exclude certain types of purchases altogether from inclusion in the Rewards Program.
Except as otherwise provided, the Rewards Program may not be combined with other offers, discounts or coupons offered by Balducci’s or any Participating Stores.
In all matters relating to the interpretation and application of any rule or phase of the Rewards Program, the decision of Balducci’s, in its sole discretion, shall be final and binding on Balducci’s and each of the Members.
Balducci’s makes no representations or warranties, either express or implied, and expressly disclaims any and all liability with respect to type, quality or fitness of products purchased or services provided through the Rewards Program.
IN NO EVENT SHALL BALDUCCI’S OR ANY OF ITS DIRECTORS, OFFICERS, MEMBERS, MANAGERS, SHAREHOLDERS, EMPLOYEES, AFFILIATES, AGENTS OR OTHER REPRESENTATIVES BE LAIBLE FOR ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY OTHER DAMAGES OF ANY KIND, ARISING OUT OF OR RELATED TO THE REWARDS PROGRAM. BALDUCCI’S TOTAL LIABILITY WILL NOT EXCEED THE TOTAL AMOUNT SPENT BY MEMBERS ON PURCHASES AT PARTICIPATING STORES. THESE EXCLUSIONS AND LIMITATIONS OF LIABILITY WILL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW AND WILL SURVIVE CANCELLATION OR TERMINATION OF A MEMBER’S MEMBERSHIP IN THE REWARDS PROGRAM.

These Terms, together with each Member’s Rewards Program application, is the entire agreement between Balducci’s and each Member relating to the subject matter herein.
Balducci’s may assign or transfer its rights under these Terms to any affiliate or other company at any time and from time to time without notice to the Members. No Member may assign or transfer its rights under these Terms without the prior written consent of Balducci’s.
If any provision of these Terms is held to be invalid or unenforceable as written, it shall be construed, to the extent possible, in a manner which shall render it valid and enforceable. Any provision of these Terms that is prohibited or unenforceable in any jurisdiction shall, as to such jurisdiction, be ineffective to the extent of such prohibition or unenforceability without invalidating the remaining provisions of these Terms.
